Role Overview
Help develop rigorous evaluation tasks for AI systems handling sophisticated corporate transactions and governance matters. You will create realistic, high-stakes legal workflows reflecting major M&A transactions, capital markets deals, and corporate governance issues across US and international legal frameworks.
Key Responsibilities
- Create corporate law scenarios involving large-scale M&A, multi-party negotiations, regulatory review, complex governance matters, and restructurings.
- Develop tasks covering M&A and deal structuring, securities and capital markets, corporate governance, commercial contracts, and corporate restructuring.
- Incorporate transaction tools such as Westlaw, Lexis, virtual data rooms including Intralinks and Datasite, contract lifecycle management platforms, and document automation systems.
- Apply deal structuring, due diligence, and regulatory-filing analysis to the relevant jurisdictional track.
- Produce reference legal memoranda, transaction documents, and narratives for clients or regulators.
- Write rubrics that identify experienced corporate-law judgment rather than general law-school or bar-exam knowledge.
Qualifications
- At least 5 years of experience as a corporate attorney or general counsel at a major law firm, investment bank, or corporation, such as Wachtell, Skadden, Cravath, Latham & Watkins, Kirkland & Ellis, Sullivan & Cromwell, or the legal department of a large public company.
- Direct responsibility for M&A transactions, governance matters, or securities filings.
- Fluency with corporate-law tools and methods, including an understanding of SEC review, antitrust or HSR approvals, or international equivalents, as well as practical board and shareholder oversight.
- A JD with bar admission, or an equivalent international credential such as Solicitor or Qualified Lawyer in England and Wales, is strongly preferred.
- Experience authoring rubrics, legal-training curricula, or transaction documents is a plus.
Eligibility
Expertise in either or both jurisdictional tracks is welcome: US corporate law, including Delaware General Corporation Law, SEC regulations, and the Model Business Corporation Act; or international corporate law, including the UK Companies Act 2006 and EU company-law directives. Qualified experts are encouraged to apply.
Work Terms
- Remote, hourly independent-contractor engagement.
- Compensation: $90 to $100 per hour.
