Role Overview

Apply commercial contracts expertise to realistic M&A diligence scenarios that will be used to train next-generation AI-assisted legal tools. This contractor role focuses on analyzing and annotating complex agreements, identifying deal risk, and delivering clear, structured written feedback that helps improve how AI systems interpret transactional contracts. No prior AI experience is required.

Key Responsibilities
  • Review and analyze complex commercial agreements and real-world M&A diligence materials to inform AI tool design.
  • Annotate and assess contractual provisions including change of control, assignment, termination, exclusivity, most-favored-nation provisions, indemnification, and renewal terms.
  • Differentiate material contract risks from standard boilerplate, and provide concise written rationales for those distinctions.
  • Evaluate the severity of identified issues in the context of realistic M&A transactions.
  • Apply practical legal judgment to related contract types, including commercial leases, as needed.
  • Deliver structured, high-quality written feedback intended to improve AI systems used by transaction and deal professionals.
  • Work with virtual data room materials and live transaction documentation as part of diligence exercises.
Qualifications
  • Minimum 5 years of experience in commercial contract drafting, negotiation, or diligence review in a law firm or in-house setting.
  • Extensive, hands-on experience reviewing contracts in virtual data rooms during live M&A transactions, this is essential.
  • Deep familiarity with provisions that govern deal risk, including change-of-control, assignment mechanics, termination mechanics, exclusivity, MFN, indemnification, and renewal language.
  • Experience conducting or managing diligence at a major firm or in a managed review context.
  • Strong written and verbal communication skills, able to explain complex legal risk clearly and precisely.
  • Demonstrated practical legal judgment and attention to detail, including the ability to annotate contracts and explain legal concepts succinctly.
  • Exposure to SaaS and technology commercial agreements and contract analytics tools is preferred but not required.
  • JD and active bar membership, or equivalent legal qualification in your jurisdiction.

Compensation
  • Pay rate: $90.00 to $100.00 per hour.
