Commercial Contracts Attorney for M&A AI Training

Review and annotate commercial agreements and real-world M&A diligence materials to produce high-quality, structured legal input that helps train and improve AI-assisted legal tools. This contractor role focuses on identifying deal risk, explaining legal consequences clearly, and delivering precise annotations and written rationales informed by live transaction experience. No prior AI experience is required.

• Review and analyze complex commercial contracts and realistic M&A diligence scenarios.
• Assess and annotate contractual provisions, including change-of-control, assignment, termination, exclusivity, MFN, indemnification, and renewal terms.
• Distinguish material contract risks from standard boilerplate, and provide concise written explanations of each identified risk.
• Deliver structured, high-quality written feedback intended to improve AI systems supporting transaction and deal teams.
• Evaluate the severity of issues in the context of realistic M&A transactions.
• Apply practical legal judgment to related contract types, including commercial leases, as needed.
• Work with documents hosted in virtual data rooms and follow established review protocols.

• JD and active bar membership, or equivalent legal qualification in your jurisdiction.
• At least 5 years of experience in commercial contract drafting, negotiation, or diligence review at a law firm or in-house legal team.
• Extensive, documented experience reviewing contracts in virtual data rooms during live M&A transactions, this is essential.
• Deep familiarity with provisions governing deal risk, such as change-of-control, assignment mechanics, and termination provisions.
• Demonstrated ability to explain complex legal risk clearly in writing and verbally.
• Strong attention to detail and practical legal judgment.
• Preferred but not required, exposure to SaaS and technology commercial agreements, experience in a major firm or managed review context, and familiarity with contract analytics tools.

Pay rate, $90 to $100 per hour.

• Must hold a JD and active bar membership, or an equivalent legal qualification in your jurisdiction.
