About this role

Role Overview

Work at the intersection of M&A practice and legal AI, using your transactional drafting, negotiation, and redlining expertise to train and evaluate advanced contract review models. In this part-time contractor role, you will perform simulated negotiations, critique AI outputs, and help create rigorous evaluation frameworks so AI systems better identify risk and interpret contract language in real-world deals.

Key Responsibilities
  • Perform simulated contract negotiations and redlining exercises that mirror real M&A transactions.
  • Review and assess AI-generated responses to contract scenarios, providing precise, actionable feedback to improve model performance.
  • Develop objective evaluation frameworks and grading criteria to measure AI performance on contract drafting, negotiation, and redlining tasks.
  • Collaborate with product and research teams to refine training data, guidelines, and best practices for AI-driven contract review solutions.
Qualifications
  • J.D. from an ABA-accredited law school.
  • Active bar admission in at least one U.S. jurisdiction.
  • Minimum of 2 years of experience in the M&A department of a corporate law firm.
  • Hands-on familiarity with standard M&A agreements, including asset purchase agreements and stock purchase agreements.
  • Proven experience with contract negotiations and redlining workflows.
  • Exceptional written and verbal communication skills and meticulous attention to detail.
  • Strong analytical ability, with a track record of translating legal judgment into clear, actionable feedback.
  • Comfort working with cross-disciplinary teams in fast-paced environments, and a demonstrated interest in legal technology and innovation.
Preferred Qualifications
  • Prior exposure to AI, machine learning, or legal technology training initiatives.
  • Experience working with private equity firms or on private equity-related M&A matters.
Work Terms
  • Engagement type, contractor, part-time.

Compensation

Pay range: $90 to $130 per hour.

Eligibility
  • Must hold an active bar admission in at least one U.S. jurisdiction.
  • Must have the required M&A experience, specifically at least 2 years in an M&A group at a corporate law firm.
