Drive the corporate legal details behind financings, governance, equity administration, and transaction closings while helping build AI enabled legal workflows that make the legal function faster, more accurate, and scalable.
Role OverviewThis full time role combines hands on corporate paralegal work with legal operations, automation, and self service process design. You will independently move corporate matters from drafting and signatures through filings, records, closing materials, and post closing follow up in a fast paced, highly asynchronous, Slack driven environment.
Key Responsibilities- Support venture financings, secondary transactions, board and stockholder approvals, and other corporate matters, including document drafting and coordination with outside counsel.
- Own transaction execution, including signatures, checklists, document circulation, closing sets, and post closing matters.
- Maintain the master data room and keep corporate records accurate, organized, and current.
- Manage corporate governance and entity administration, including state filings, annual reports, minute books, organizational documents, and subsidiary records.
- Administer cap tables, equity plans, and equity grants, including grants, exercises, transfers, cancellations, and reconciliation of equity records.
- Draft and manage routine corporate and legal documents independently, using sound judgment about when to escalate matters or involve outside counsel.
- Design AI enabled legal intake and triage workflows for an asynchronous, Slack driven team.
- Create self service tools, templates, playbooks, and automation for recurring processes, including NDAs, approvals, and signature requests.
- Identify repetitive legal work and build systems that improve speed, accuracy, and scalability.
- Significant experience supporting venture capital financings, M&A, or similar corporate transactions, with strong knowledge of transaction documents, approvals, and closing processes.
- Strong experience in corporate governance, entity management, state filings, cap tables, and equity administration.
- 8+ years of corporate paralegal experience.
- Exceptional organization and attention to detail, with the ability to independently manage matters from start to finish.
- Strong drafting, proofreading, project management, and communication skills.
- Interest in AI, legal technology, workflow design, and automation.
- Strong judgment in recognizing issues that require escalation or outside counsel.
- A hands on, collaborative approach across legal and operational responsibilities, with comfort working autonomously in a fast paced, highly asynchronous environment.
- Full time position.
- Remote, with the option to work from the San Francisco office.
$200, 000 to $250, 000 per year.
