About this role

Role Overview

Drive the corporate legal work that keeps financings, governance, equity matters, and transactions moving from initial drafting through closing and post-closing execution. This full-time role combines hands-on transactional ownership with the opportunity to build AI-enabled legal workflows, self-service tools, and automations for a highly asynchronous, Slack-driven environment.

Key Responsibilities

  • Support venture financings, secondary transactions, board and stockholder approvals, and related corporate matters, including document drafting and coordination with outside counsel.
  • Manage transaction execution, including signatures, checklists, document circulation, closing sets, and post-closing work.
  • Maintain an accurate, current, and well-organized master data room and corporate records.
  • Oversee corporate governance and entity administration, including state filings, annual reports, minute books, organizational documents, and subsidiary records.
  • Administer cap tables, equity plans, and equity grants, including grants, exercises, transfers, cancellations, and equity-record reconciliations.
  • Draft and manage routine corporate and legal documents independently, using sound judgment about when to escalate issues or involve outside counsel.
  • Design AI-enabled legal intake and triage workflows.
  • Create self-service tools, templates, playbooks, and automation for recurring processes such as NDAs, approvals, and signature requests.
  • Identify repetitive legal work and develop systems that improve the legal function''s speed, accuracy, and scalability.

Qualifications

  • Significant experience supporting venture capital financings, M&A, or comparable corporate transactions, with strong knowledge of transaction documents, approvals, and closing processes.
  • Strong experience in corporate governance, entity management, state filings, cap tables, and equity administration.
  • Foundational law-firm training and hands-on corporate counsel experience are preferred.
  • JD and at least 3 years of corporate counsel experience supporting venture transactions.
  • Exceptional organization, attention to detail, drafting, proofreading, project management, and communication skills.
  • Ability to independently lead matters from start to finish, identify issues requiring escalation or outside counsel, and work collaboratively across legal and operational responsibilities.
  • Genuine interest in AI, legal technology, workflow design, and automation.
  • Comfort working autonomously in a fast-paced, highly asynchronous environment.

Work Terms

  • Full-time position.
  • Remote, with an opportunity to work from the San Francisco office.

Compensation

$225, 000 to $275, 000 per year.
