M&A Corporate & Securities Attorney for AI Legal Training

Use your M&A, corporate governance, and securities expertise to train and evaluate next generation AI legal reasoning. In this contractor role you will review realistic transaction scenarios and due diligence materials, provide structured legal analysis and feedback, and help shape how AI systems learn to reason about deal risk and corporate documentation. Prior experience with AI is not required, domain expertise is the priority.

• Review and evaluate realistic M&A transaction scenarios and due diligence materials to inform development of AI-assisted legal tools.
• Apply professional judgment on corporate, governance, and securities matters, identifying material issues and distinguishing significant risks.
• Produce clear, structured written feedback that enhances AI systems capacity for legal reasoning and analytical problem solving.
• Assess accuracy and relevance of AI-generated legal outputs, ensuring alignment with market and practice standards.
• Identify and explain cross-document inconsistencies within corporate records, charters, board consents, and financing documents.
• Serve as a subject matter expert on M&A deal processes and risk assessment, offering nuanced guidance to improve model performance.

• Minimum 5 years experience in M&A, corporate, or venture/securities matters at a law firm, corporate development team, or investment fund.
• JD and active bar membership, or equivalent legal qualification in your jurisdiction.
• Substantial familiarity with corporate governance documents and the ability to spot and explain ambiguous or inconsistent provisions.
• Demonstrated experience working within virtual data rooms on live deals, for example Datasite, Intralinks, or Ansarada.
• Excellent written and verbal communication skills, with the ability to articulate complex legal reasoning clearly and concisely.
• Experience at AmLaw 100 firms, top-tier venture or technology practices, or leading private equity or corporate development teams is highly valued.
• Prior exposure to AI-assisted legal review tools is a plus, but not required.
• Key skills include M&A transaction analysis, corporate governance, securities law, legal risk assessment, due diligence, virtual data room workflows, contract review, legal writing, analytical reasoning, and professional judgment.

Pay range $80 to $100 per hour.
