About this role
Apply M&A, corporate governance, and securities expertise to help improve AI legal reasoning through realistic transaction and due diligence analysis. This remote contract role focuses on providing clear, practice-grounded legal judgment; prior AI experience is not required.
Key Responsibilities- Review and evaluate M&A transaction scenarios and due diligence materials to support development of AI-assisted legal tools.
- Analyze corporate, governance, and securities matters, identifying material issues and distinguishing significant legal risks.
- Provide clear, structured written feedback that strengthens AI reasoning and analytical performance.
- Assess the accuracy and relevance of AI-generated legal outputs against market and practice standards.
- Identify and explain inconsistencies across corporate records, charters, board consents, and financing documents.
- Provide subject matter guidance on M&A deal processes and legal risk assessment.
- At least 5 years of experience in M&A, corporate, or venture/securities matters at a law firm, corporate development team, or investment fund.
- Experience using virtual data rooms, such as Datasite, Intralinks, or Ansarada, on live transactions.
- Strong knowledge of corporate governance documents and the ability to identify and explain ambiguous or inconsistent provisions.
- JD and active bar membership, or an equivalent legal qualification in your jurisdiction.
- Excellent written and verbal communication skills, including the ability to explain complex legal reasoning.
- Experience with AmLaw 100 firms, top-tier venture or technology practices, or leading private equity or corporate development teams is highly valued.
- Experience with AI-assisted legal review tools is helpful but not required.
