Role Overview

Apply your M&A, corporate, and securities expertise to evaluate realistic transaction scenarios and due diligence materials that train and improve AI legal reasoning. This contractor role asks experienced attorneys to identify material issues, explain reasoning in writing, and validate AI-generated legal outputs so models align with market practice.

Key Responsibilities
  • Review and evaluate realistic M&A transaction scenarios and due diligence materials to inform development of AI-assisted legal tools.
  • Apply expert judgment on corporate governance, securities, and transactional issues, identifying material issues and distinguishing significant risks.
  • Produce clear, structured written feedback that explains legal reasoning and supports enhancement of AI systems analytical abilities.
  • Assess the accuracy and relevance of AI-generated outputs against market and practice standards.
  • Identify and explain cross-document inconsistencies within corporate records, charters, board consents, and financing documents.
  • Serve as a subject matter expert on M&A deal processes, contract review, and risk assessment.
Qualifications
  • Minimum 5 years of experience in M&A, corporate, or venture/securities matters at a law firm, corporate development team, or investment fund.
  • JD and active bar membership, or an equivalent legal qualification in your jurisdiction.
  • Practical experience using virtual data rooms such as Datasite, Intralinks, or Ansarada on live deals.
  • Substantial familiarity with corporate governance documents and the ability to spot and explain ambiguous or inconsistent provisions.
  • Strong legal writing, analytical reasoning, and written communication skills; ability to explain complex legal reasoning clearly in writing.
  • Required skills: M&A transaction analysis, corporate governance, securities law, legal risk assessment, due diligence, virtual data rooms, contract review, legal writing, analytical reasoning, professional judgment.
  • Experience at AmLaw 100 firms, top-tier venture or technology practices, or leading private equity or corporate development teams is highly valued.
  • Prior exposure to AI-assisted legal review tools is a plus but not required.
Work Terms
  • Role type: Independent contractor.
  • Location: Remote.
  • Project focus: Contributing domain expertise to advance AI legal reasoning and to help train next-generation AI systems. No prior AI experience is required; domain knowledge is the primary qualification.
Compensation
  • Pay rate: $80.00 to $100.00 per hour.
Eligibility
  • Must meet the listed qualifications, including relevant practice experience and legal credentials in your jurisdiction.
  • Ability to contract as an independent contractor in the candidate''s place of residence.
