Provide expert legal analysis and high-quality annotations of complex transactional documentation and investment fund materials to help train next-generation AI systems. This remote contractor role focuses on private equity, investment funds, M&A, and related corporate and technology transactions, contributing domain expertise that improves how models learn and reason. No prior AI experience is required.
Key Responsibilities- Review, annotate, and provide structured feedback on a wide range of transactional agreements, including master service agreements (MSAs), share or asset purchase agreements (SPAs/APAs), limited partnership agreements (LPAs), data processing agreements (DPAs), nondisclosure agreements (NDAs), and side letters.
- Analyze credit agreements, banking documents, SaaS and cloud technology service agreements, leases, employment agreements, and IP and technology licenses, and explain practical implications for use in training data.
- Draft sample clauses, identify key risk areas, and recommend clarifications to improve contract drafting and negotiation outcomes.
- Apply subject-matter expertise in private equity, investment funds, asset management, M&A, and corporate and commercial law to benchmark standards and highlight best practices.
- Assess legal risks, and synthesize complex legal concepts into clear, precise annotations for varied audiences.
- Incorporate sector-specific context on data privacy, cybersecurity, and technology transactions as needed to ensure accuracy for AI learning frameworks.
- Collaborate with other legal professionals to validate annotations and maintain consistency across training materials.
- JD from an accredited law school strongly preferred; an LLM may be considered for candidates with exceptional, directly relevant experience.
- At least 8 years of legal experience in private equity, investment funds, M&A, or asset management, with responsibility for negotiating and drafting complex agreements.
- Demonstrated expertise with transactional documents, including MSAs, SPAs/APAs, LPAs, DPAs, NDAs, and side letters.
- Strong knowledge of contract-heavy work across investment funds, banking and finance, technology and SaaS, and data privacy sectors.
- Required skills: contract drafting and negotiation, transactional document analysis, legal risk assessment, legal writing and annotation, attention to detail, ability to synthesize complex legal concepts, and effective written and verbal communication.
- Familiarity with emerging trends in technology contracts, data privacy, and cloud services is a plus.
