Apply deep private equity, investment funds, and transactional law expertise to review, annotate, and draft complex agreements and produce high-quality legal inputs that help train advanced AI systems. This remote contractor role centers on contract-heavy matters across private equity, asset management, M&A, banking and technology transactions. No prior AI experience is required, your substantive legal knowledge is the priority.
Key Responsibilities- Review and annotate a wide range of transactional documents, including MSAs, SPAs/APAs, LPAs, DPAs, NDAs, and side letters, ensuring accuracy and practical insight.
- Analyze credit agreements, banking documents, SaaS and cloud service agreements, leases, employment agreements, and IP and technology licenses, and provide structured feedback.
- Identify and draft sample clauses, highlight key risk areas, and propose alternative language to improve contractual clarity.
- Provide subject matter expertise on private equity, investment funds, asset management, M&A, and corporate and commercial law matters, with emphasis on negotiation and drafting nuances.
- Evaluate and clarify legal language to improve how contractual terms are understood and applied in training datasets for AI models.
- Monitor sector-specific developments in data privacy, cybersecurity, and technology transactions and incorporate relevant context into annotations.
- Collaborate with other legal professionals to benchmark agreement standards and surface best practices for learning materials.
- JD from an accredited law school strongly preferred, LLM may be considered for exceptional candidates.
- At least 8 years of post-qualification experience in private equity, investment funds, M&A, or asset management legal practice, with substantial responsibility for complex agreements.
- Demonstrated expertise with MSAs, SPAs/APAs, LPAs, DPAs, side letters, and NDAs.
- In-depth experience with contract-heavy work in investment funds, banking and finance, technology and SaaS, and data privacy.
- Strong contract drafting and negotiation skills, and proven ability to analyze and annotate transactional documents.
- Familiarity with data privacy and cybersecurity law as they apply to commercial and technology transactions.
- Excellent written and verbal communication, strong legal writing and annotation skills, and rigorous attention to detail.
- Ability to synthesize complex legal concepts into clear, actionable guidance for varied audiences.
This engagement is a remote contractor role supporting a customer project focused on complex transaction documentation and investment fund matters. The work will involve producing annotated documents, drafting sample clauses, and providing structured legal feedback to inform AI training. Candidates do not need prior AI experience.
CompensationPay rate: $90 to $130 per hour.
