Role Overview
Complete self-contained M&A exercises using mock transaction materials, including CIMs, diligence reports, term sheets, and board decks. You will create the required work product for each exercise, which will be evaluated against a defined rubric.
Key Responsibilities
- Build valuation and merger models, including three-statement models, DCFs, trading and transaction comparables, accretion-dilution analyses, cap tables, and equity waterfalls.
- Draft and compare transaction documents and economics, including IOIs, LOIs, term sheets, bid comparisons, deal structures, and consideration analyses.
- Create process and board materials, including management presentations, data packs, buyer universes, board and committee decks, closing mechanics, and funds flow materials.
- Perform screening, diligence, and integration work, including inbound deal screening, diligence request lists, findings syntheses, synergy models, carve-out analyses, and 100-day plans.
Qualifications
- At least 4 years of experience in an in-house corporate development or M&A role at an operating company.
- Hands-on, end-to-end ownership of live transactions, rather than transaction support work.
- Investment banking, private equity, Big 4 transaction advisory, or financial due diligence experience before moving in-house is preferred.
Assessment
- Complete a merger model using a mock target file.
- Compare transaction term sheets.
- Prepare a board-ready recommendation memo.
Work Terms
- Remote, per-task engagement.
Compensation
- $2, 000 per task.
